Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Those Guys LLC, a limited liability company located in Miami, Florida, United States ("Those Guys," "we," "us," or "our"), governing your access to and use of the Myximus websites, applications, and services, including Myximus Secure Delete and the Myximus privacy stack (collectively, the "Service"). By creating an account, downloading our software, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Agreement to these Terms

You must be at least 16 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

2. The Service

Myximus provides privacy and security tools, which may include a network and device security scanner, VPN and encrypted DNS, a password and data vault, the Myximus Shield device agent, and Myximus Secure Delete, a tool for permanently overwriting files. Features vary by plan and platform and may change over time. Some features are offered free; others require a paid license or subscription.

3. License grant

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Myximus software for your own lawful use. A Myximus Secure Delete Pro license may be activated on up to three (3) machines per license key. You may not:

copy, resell, sublicense, rent, lease, or redistribute the software or license keys;
reverse engineer, decompile, or disassemble the software except where that restriction is prohibited by applicable law;
circumvent, disable, or tamper with licensing, activation, or security mechanisms; or
remove or alter any proprietary notices.

We retain all right, title, and interest in and to the Service, including all intellectual property rights. No rights are granted except as expressly set out in these Terms.

4. Acceptable use

You agree not to use the Service to:

violate any applicable law or regulation, or infringe the rights of others;
access, tamper with, or use systems, networks, or data you are not authorized to access;
distribute malware, conduct denial-of-service attacks, or engage in unauthorized intrusion;
route traffic through our VPN or DNS in furtherance of unlawful activity;
use Secure Delete to destroy data you are under a legal obligation to preserve, or to obstruct an investigation or legal process;
interfere with, overload, or disrupt the Service or its infrastructure; or
attempt to gain unauthorized access to other users' accounts or data.

You are solely responsible for how you use the Service and for the data you choose to permanently delete. Deletion is irreversible by design; we cannot recover data you have destroyed.

5. Accounts

Some features require an account, for which we collect an email address. You are responsible for maintaining the confidentiality of your credentials and license keys and for all activity under your account. Notify us promptly of any unauthorized use. Our handling of your information is described in our Privacy Policy.

6. Payments & billing

Paid licenses and subscriptions are sold through our payment provider, FastSpring, which acts as the merchant of record and reseller for these transactions. FastSpring handles payment, billing, applicable sales tax and VAT, and order receipts. By making a purchase you also agree to FastSpring's buyer terms.

One-time purchases (such as Secure Delete Pro at $9.99) grant a perpetual license to the purchased version under these Terms. Subscription plans renew automatically at the then-current price for the applicable billing period until cancelled. You may cancel at any time, effective at the end of your current billing period. Refunds are governed by our Refund Policy.

7. No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Honesty about destruction: No software can guarantee that data is physically unrecoverable on solid-state drives (SSDs), flash media, or mobile devices, because wear-leveling, TRIM, and on-controller copies are outside any application's control. Secure Delete performs multi-pass overwriting where it is effective and tells you, honestly, when it is not. For SSDs and phones, full-disk encryption and a built-in cryptographic erase are the reliable controls. You acknowledge these limitations.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOSE GUYS LLC AND ITS OWNERS, MEMBERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify and hold harmless Those Guys LLC and its owners, members, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service unlawfully. Provisions that by their nature should survive termination — including license restrictions, disclaimers, limitations of liability, indemnification, and governing law — will survive.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute that is not subject to arbitration or small-claims resolution will be the state or federal courts located in Miami-Dade County, Florida, and you consent to their personal jurisdiction. Nothing in this section deprives you of any mandatory consumer protections of the jurisdiction in which you reside.
